1. Introduction
This Pugiyo Seller Partnership & Marketplace Agreement ("Agreement") establishes the terms and conditions under which an individual, business, brand, retailer, wholesaler, distributor, manufacturer, authorized dealer or other eligible commercial entity ("Seller", "you" or "your") may register, operate a seller account and offer approved products for sale through the Pugiyo marketplace ("Pugiyo", "Platform", "we", "us" or "our").
Pugiyo is an ecommerce marketplace that provides technology, marketplace infrastructure, seller tools, product discovery, order management, customer-facing services and related marketplace support.
By creating a Seller account, submitting an application, listing products, accepting an order or otherwise using the Seller Portal, the Seller agrees to be bound by this Agreement, the Pugiyo Privacy Policy, applicable Seller Policies, Product and Category Policies, Return/Refund Policies and other policies published or communicated by Pugiyo from time to time.
2. Definitions
"Customer" means a person who purchases, attempts to purchase, enquires about or interacts with a product through Pugiyo. "Seller" means the business or individual approved by Pugiyo to list and sell products. "Seller Account" means the account created by the Seller to access the Seller Portal. "Seller Portal" means the seller management environment. "Product" means any good submitted, listed or sold by the Seller. "Order" means a purchase transaction initiated by a Customer. "Seller Content" means photographs, descriptions, prices, documents and materials supplied by the Seller. "Marketplace Commission" means the commission or service charge payable to Pugiyo. "Seller Policies" means operational rules, product, return, prohibited-product and commission policies issued by Pugiyo.
3. Seller Eligibility
A Seller must provide accurate information for onboarding and verification, which may include: business registration, PAN/VAT, government ID, authorized representative, bank account, business address, contact details, brand or dealership authorization, product source and compliance documents, and licenses where applicable. Pugiyo may decline applications that do not meet requirements.
4. Seller Verification
Verification may cover identity, business, PAN/VAT, bank, product/category, brand authorization, operations and fraud/risk checks. A "Pugiyo Verified Seller" badge shows applicable requirements are met; it does not guarantee every product and does not remove Seller responsibilities.
5. Seller Account
The Seller must keep credentials confidential, keep information accurate, restrict unauthorized access, report suspected breaches, and ensure authorized users behave appropriately. Accounts must not be transferred, sold or assigned without Pugiyo approval. The Seller is responsible for activity through its account unless caused by unauthorized access it could not reasonably have prevented.
6. No Standard Registration Fee
Pugiyo does not charge a standard upfront registration fee. Selling is not completely free: marketplace commission, service, logistics, payment, promotional and tax charges may apply as disclosed through the Portal, Agreement, Commission Schedule or Seller Program.
7. Product Listing
List only products that are legal, genuine, accurately described, available, category-suitable and policy/law compliant. Each listing must carry accurate name, brand, description, specifications, price, stock, images, size/weight, warranty and other required information. Update inaccurate information immediately.
8. Product Authenticity and Quality
Products must be genuine, lawfully sourced, non-counterfeit, IP-clean, accurately described, legally compliant, fit for sale and properly packaged, matching their descriptions and photographs. Pugiyo may remove listings where authenticity, quality, safety or legality is reasonably questioned.
9. Prohibited Products
Never list products prohibited by law, regulators, Pugiyo policy, category restrictions or safety rules. Listings posing legal, safety, fraud, counterfeit or reputational risks may be suspended or removed immediately.
10. Pricing
The Seller sets lawful, non-misleading prices; promotional prices must be genuine. Confirmed orders must be honored at the confirmed price subject to lawful exceptions and Pugiyo policies.
11. Orders
Review orders promptly, keep stock information accurate, confirm/process within timelines, prepare the correct product, package appropriately, make it available for pickup/dispatch, and cooperate with delivery, return and support processes. Repeated fulfillment failures may affect performance, visibility or account status.
12. Order Cancellation
Do not cancel confirmed orders except for legitimate reasons. Repeated or unreasonable cancellations may bring penalties, reduced visibility, campaign restrictions, suspension or review. Circumstances beyond reasonable control are considered.
13. Packaging
Package appropriately for nature, size, weight, fragility, value and transport so products arrive in suitable condition. The Seller may be responsible for damage from inadequate packaging under applicable policy.
14. Delivery and Logistics
Pugiyo may coordinate delivery via third-party logistics, drop-off or approved methods, varying by location, category, size, seller/customer location, partner availability and operations. No specific delivery time is guaranteed where circumstances outside reasonable control intervene. Cooperate with pickup, dispatch, tracking, failed delivery and return procedures.
15. Returns, Refunds and Replacements
Cooperate with legitimate return, replacement and refund processes under Pugiyo policy. Seller responsibility may arise for incorrect, misdescribed, defective, badly packaged, counterfeit or unlawful products. Pugiyo determines claim procedures subject to law and contract.
16. Customer Experience
Make reasonable efforts: genuine products, accurate inventory, prompt processing, professional packaging and information, support cooperation, legitimate issue resolution and professional conduct.
17. Seller Ratings and Reviews
Customers may rate eligible purchases; Pugiyo may display ratings, verified indicators and fulfillment statistics. Never create fake orders/reviews, buy reviews, offer incentives, threaten customers, or manipulate ratings. Suspicious activity may be investigated.
18. Seller Performance
Performance may be measured on fulfillment, cancellation rate, quality, complaints, returns, response time, rating, delivery cooperation and compliance — affecting visibility, campaigns, badges and opportunities.
19. Pugiyo Verified and Trust Badges
Badges such as Pugiyo Verified Seller, Trusted Seller or Top Seller may be granted per Pugiyo criteria and removed when criteria lapse.
20. Customer Information and Privacy
Use Customer information only for authorized fulfillment, support, returns, warranty or legal purposes. Keep it confidential. Never sell it, build unrelated marketing lists, redirect customers off-platform, request direct payments, or share with unauthorized persons. Do not use Pugiyo customer data to move transactions outside Pugiyo.
21. Marketplace Communication
Keep Pugiyo-transaction communication on approved channels. Never redirect customers to other platforms, request direct bank payment, promote external transactions, harvest contact details for bypass, or circumvent fees/protections. Communications may be monitored as permitted by law and the Privacy Policy.
22. Marketplace Non-Circumvention
Do not intentionally divert Pugiyo-originated orders: no direct payments, no redirection to WhatsApp/Facebook/Instagram/personal sites, no bypass contact sharing, no redirect inserts in packages, no soliciting direct deals with Pugiyo customer data. Independent business activity is fine if it does not misuse Pugiyo data or divert Pugiyo transactions. Violations may bring suspension, delisting, settlement holds, termination or lawful remedies.
23. Seller Branding
Pugiyo may display approved seller name, logo, description, general location, verification, rating, performance, products and tenure. Private phones, emails, home addresses, bank data, IDs and credentials stay private. Business contact info may show where expressly provided for business purposes.
24. Seller Content and Intellectual Property
The Seller keeps ownership of its trademarks, logos, photos and content, granting Pugiyo a non-exclusive, worldwide, royalty-free license during the relationship to use them for listings, marketplace operation, marketing, campaigns, support and analytics. The Seller warrants sufficient rights in submitted content.
25. Pugiyo Intellectual Property
Pugiyo name, logo, platform, software, site, portal, designs, docs, data and branding remain Pugiyo/licensor property. No ownership passes by platform use.
26. Commission and Settlement
Pugiyo may deduct commission and disclosed charges from payables; rates may vary by category, program, campaign, agreement or product. Settlement timing depends on completion, delivery, return window, refunds, processing, deductions and fraud/dispute reviews. Statements appear in the Seller Portal.
27. Taxes
The Seller handles its own income tax, VAT, PAN, customs, business and statutory obligations. Pugiyo may deduct, collect or report taxes where the law requires. Nothing here is tax advice.
28. Seller Representations
The Seller represents authority to agree, accuracy of submissions, rights to sell, product/legal compliance, IP-clean content, tax/regulatory compliance, policy compliance, and no fraud, deception or manipulation.
29. Prohibited Seller Conduct
No counterfeits, misleading information, review manipulation, fake orders, campaign abuse, commission circumvention, customer-data misuse, unauthorized access, malicious uploads, fraud, impersonation, misrepresented authorization, unlawful facilitation, or material harm to customers or Pugiyo.
30. Fraud and Marketplace Security
Pugiyo may review risk and temporarily restrict accounts, listings, orders, settlements or promos to investigate suspected fraud, unauthorized activity, payment issues, counterfeits, abuse or compliance needs, requesting extra documentation where permitted.
31. Suspension
Accounts may be suspended/restricted for violations, false information, risky products, fraud, data misuse, circumvention, material risk, or legal orders — restored after review where appropriate.
32. Termination
Either party may terminate subject to contract and law. Pugiyo may terminate immediately for serious misconduct, fraud, illegality, counterfeits, material data misuse or serious abuse.
33. Effect of Termination
On termination: stop new orders unless instructed, complete outstanding obligations, cooperate on returns/refunds, return/delete customer data where required, stop presenting as an active seller, and settle amounts with adjustments. Retention may continue for legal, tax, accounting, fraud, dispute or regulatory needs.
34. Confidentiality
Protect each other's confidential information (commercial terms, customer data, reports, non-public data, pricing, plans, technical info), disclosing only where required by law, court, authority or authorization.
35. Data Protection
Handle personal information per applicable law and Pugiyo's Privacy Policy, acknowledging collection for onboarding, verification, operations, payments, support, fraud prevention, compliance and disclosed purposes.
36. Third-Party Service Providers
Pugiyo may use providers for payments, delivery, logistics, infrastructure, communications, support, analytics, security and verification, processing necessary information under applicable agreements and law.
37. Platform Availability
Reasonable efforts for availability; no guarantee of uninterrupted operation (maintenance, failures, security, internet, third parties, force majeure).
38. Disclaimer
Pugiyo is a marketplace platform unless expressly stated otherwise. Sellers remain responsible for products, legality, authenticity and warranties; Pugiyo is not the manufacturer by listing and does not guarantee sales volume.
39. Limitation of Liability
To the maximum extent permitted by law, liability is limited to direct losses from a party's own breach, negligence or unlawful conduct, excluding non-excludable liability. Pugiyo is not responsible for losses solely from seller misconduct, wrong info, counterfeits, inventory failure, packaging, independent activities or events outside reasonable control — subject to mandatory rights.
40. Indemnification
To the extent permitted by law, the Seller indemnifies Pugiyo, officers, employees and representatives against claims, losses, liabilities and reasonable costs from: breach, products, counterfeits, content, IP infringement, unlawful conduct, customer-data misuse, tax/regulatory violations, and intentional circumvention.
41. Force Majeure
Neither party is responsible for failure/delay from events beyond reasonable control: disasters, war, civil disturbance, government restrictions, infrastructure/internet failures, epidemics, logistics disruptions and comparable events.
42. Policy Updates
Operational policies, commission schedules and procedures may update; material Agreement changes are communicated reasonably with an effective date. Continued portal use after it may constitute acceptance where legally permitted.
43. Notices
Official notices via Seller Portal, registered email, account notifications or approved methods. Keep contact details current.
44. Dispute Resolution
First attempt good-faith resolution via Seller Support; unresolved disputes go under Nepal law and agreed competent courts/mechanisms, preserving mandatory rights.
45. Governing Law
Interpreted under the laws of Nepal, unless mandatory law provides otherwise.
46. Severability
Invalid provisions do not kill the rest, to the extent permitted by law.
47. No Waiver
One-time non-enforcement is not a permanent waiver.
48. Entire Agreement
This Agreement plus Seller Policies, Commission Schedule, Privacy Policy, Return/Refund Policy and incorporated terms form the whole deal. Conflicts resolve: mandatory law, then specific written commercial agreement, then this Agreement, then policies, then guidance.
49. Electronic Acceptance
Portal acceptance may constitute acceptance where permitted, recorded with identity, account, date/time, agreement version and technical records.
50. Seller Acknowledgement
By selecting "I Agree", creating an account, applying, listing or accepting orders, the Seller confirms it has read and understood this Agreement and policies, its information is accurate, customer transactions stay within Pugiyo processes, and violations may bring suspension, delisting or termination.
